Terms of Service

1. Services

1.1   Before you purchase RenzheCloud services, you may see a list of available services. You may select the plan or service you need. All services you select are subject to these terms. After you order a service, we consider that you have accepted these terms and we will begin providing the service. RenzheCloud reserves the right to refuse to provide any service for any reason. You may order additional services at any time. All additional services are also considered “services” under this agreement and are subject to all terms and conditions of this agreement.

2. Amendments to this Agreement

This agreement contains the complete terms and conditions applicable to the RenzheCloud services you purchase. RenzheCloud may modify this agreement at any time, including fees. RenzheCloud is responsible for notifying users of changes through reasonable methods, including email notices, website notices, or social media announcements.

2.1   We may modify this agreement at any time. You agree that we reserve the right to do so unilaterally. The updated version will take effect immediately upon publication and will replace all previous versions, unless otherwise stated. Any third-party modification of this agreement is invalid.

2.2   If this agreement changes, we will update the “last updated” date at the top of this page. You agree to revisit this page regularly. If the last updated date has not changed since your last visit, you may assume that the agreement has not changed. If the date has changed, you should assume that relevant terms have been updated.

2.3   RenzheCloud may also terminate this agreement at any time, for any reason or no reason, by providing written notice.

2.4   Waiver - If you do not review this agreement regularly, you assume the risk of missing changes. You have the right to review the latest version at any time. RenzheCloud is not responsible for any consequences caused by your failure to review the updated agreement.

3. Agreement and Cancellation Policy

3.1   The initial service term begins when we provide the service to you and receive valid payment from you. The length of the term is selected by you when ordering the service. During the initial term and any renewal term, you may not terminate this agreement unless RenzheCloud materially breaches it. After the initial term, this agreement will renew automatically under the same terms unless terminated or cancelled by either party as provided in this agreement.

3.2   RenzheCloud may terminate this agreement at any time, for any reason or no reason, by providing written notice.

3.3   If RenzheCloud cancels this agreement under any provision of this agreement, except for termination without cause under Section 3.2, RenzheCloud will not refund any fees paid or prepaid before cancellation, and you remain responsible for any fees due before the effective cancellation date. If RenzheCloud terminates the agreement, prepaid fees are non-refundable unless otherwise required. Termination does not release you from any accrued payment obligation.

3.4   In addition, RenzheCloud may terminate any part of this agreement or your services if: (a) you violate the Acceptable Use Policy; (b) you infringe any third-party intellectual property, privacy, or other rights; (c) you fail to comply with applicable laws or regulations; (d) you upload, publish, or transmit content that RenzheCloud considers illegal, high-risk, abusive, or harmful; or (e) your use creates risk to RenzheCloud, other users, or third parties.

4. Account Setup

4.1   When registering an account, you will be required to provide a login account, usually an email address, and a password. You may use the service and modify your data only through these credentials. You are fully responsible for maintaining the confidentiality of your username and password and for all activities conducted using them. You agree to notify us immediately of any unauthorized access or security breach.

4.2   You must provide a valid primary email address. All notices and communications between us may be sent to that email address. You must keep it available and notify us if it changes. If your contact or billing information changes, you should update it promptly. Please ensure that renzhe.cloud and other email addresses we notify you of are not blocked by your spam filters or email provider.

4.3   Providing incorrect or inaccurate contact information may prevent RenzheCloud from properly providing services, and interruptions caused by such information will not be covered by any service availability commitment. Providing false or fraudulent information may result in account termination under this agreement.

4.4   RenzheCloud may refuse service and immediately terminate access to your account if you do not meet service requirements, have failed to perform obligations in past services, have caused risk or loss to RenzheCloud or its partners, or otherwise do not satisfy conditions for continued service.

4.5   You are responsible for all activities and changes made under your account. We strongly recommend that you keep your account credentials secure and maintain strict security controls. We assume that you have the technical ability to manage your own service. You are responsible for problems caused by account changes, including damage to your own websites, RenzheCloud systems or equipment, or other websites.

5. Intellectual Property

All services provided through RenzheCloud may be used only for lawful purposes.

5.1   As between you and RenzheCloud, RenzheCloud does not claim ownership of content that you provide or use through your services, including text, software, music, sound, audiovisual works, films, images, animation, video, and graphics. By using RenzheCloud products or services, you grant RenzheCloud a non-exclusive, worldwide, royalty-free license to transmit, route, cache, display, or otherwise process your content solely as needed to provide the service.

5.2   RenzheCloud may, but is not required to, provide materials such as software, data files, information, domain names, email addresses, network addresses, technologies, methods, equipment, or processes used to provide the service. These materials are provided only for your authorized use of the service and remain the property of RenzheCloud or its suppliers.

5.3   You may not copy, reproduce, distribute, modify, create derivative works from, or otherwise use RenzheCloud materials except as expressly permitted by this agreement or by written authorization from RenzheCloud.

5.4   This agreement does not grant you permission to use RenzheCloud service marks, trademarks, trade names, logos, or other brand identifiers. Any such use without prior written consent is strictly prohibited.

5.5   You understand that even nominal damages may require significant legal fees, travel costs, and other expenses. If such expenses arise due to your actions, you agree to pay those costs and expenses.

6. Content and Acceptable Use Policy

6.1   You agree to comply with RenzheCloud's Acceptable Use Policy, available at https://renzhe.cloud/en/use_policy. It is incorporated into this agreement by reference. RenzheCloud may modify the Acceptable Use Policy at any time and will notify users through reasonable methods such as website notices, email, or social media announcements.

6.2   You agree that RenzheCloud is not responsible for violations of the Acceptable Use Policy or applicable laws, regulations, or policies committed by you or your end users.

6.3   RenzheCloud may, at its discretion, terminate your access to the service and terminate this agreement if you, your end users, downstream users, or related customers violate these Terms of Service or the Acceptable Use Policy.

6.4   RenzheCloud takes child sexual abuse material and any exploitation of minors extremely seriously. Use of our services by minors may create potential risks and should be prohibited unless authorized and supervised by a guardian. Any content that may be considered child sexual abuse material will be removed and access will be blocked. Customers who host, access, or transmit such content through RenzheCloud services may have their services terminated immediately and may be reported to appropriate authorities.

6.5   If you suspect that RenzheCloud services are being used to host prohibited content, you should report it to our abuse contact at abuse@renzhe.cloud and include relevant information such as filenames, URLs, affected parties if known, and any other details that may help us investigate.

6.6   We respect intellectual property rights and may terminate repeat infringers in accordance with applicable copyright laws and policies. A copy of our repeat-infringer policy may be provided to customers upon request.

6.7   You are responsible for preventing minors under your care from directly or indirectly accessing harmful or inappropriate content through services you purchase from RenzheCloud. You agree not to allow minors to access services without appropriate restrictions and supervision. Commercial online safety filters may help users limit access to harmful or inappropriate content, but RenzheCloud does not endorse or warrant any third-party filtering product.

7. Zero-Tolerance Spam Policy

7.1   Any use of RenzheCloud networks for spam is strictly prohibited. If you or your end users use RenzheCloud networks to send spam, we may terminate your services at any time.

7.2   RenzheCloud may post modified anti-spam policies on its website and reserves the right to modify such policies at any time. You agree to visit the RenzheCloud website regularly and review the latest anti-spam policy. Continued use of RenzheCloud services after any policy change means that you accept and are bound by the updated policy. If an end user violates the Terms of Service or anti-spam policy, RenzheCloud may take action at its discretion.

8. Payment

8.1   When making payment, you must choose a payment method. RenzheCloud reserves the right to contract with third parties to process payments. Such third parties may impose additional terms and conditions for payment processing.

8.2   You agree to pay any taxes arising from your use of the service, including income tax, value-added tax, sales tax, or similar taxes where applicable. RenzheCloud is not responsible for fees charged by your bank, payment card issuer, financial institution, or payment provider. RenzheCloud must receive the full amount payable; any additional costs caused by taxes, exchange rates, bank charges, or transfer charges are your responsibility.

8.3   You also agree to pay any legal fees, collection costs, and other fees incurred by RenzheCloud as a result of your failure to pay or your breach of this agreement. Setup fees, special configuration fees, processing fees, and unused prepaid amounts are generally non-refundable.

8.4   Once RenzheCloud begins providing the service, refund requests will not be accepted unless there is a broad, general, and reproducible quality issue caused by RenzheCloud products or services. You understand and agree that even if you request cancellation, RenzheCloud may already have incurred costs and risks, and fees will not be refunded.

8.5   Some special products or services may allow refunds, but RenzheCloud may deduct payment gateway fees and other necessary costs. The final amount received may vary depending on the payment gateway used, and RenzheCloud is not responsible for differences caused by payment providers.

8.6   Coupons and promo codes - In some cases, RenzheCloud may provide coupons or promo codes. Unless otherwise stated, they may apply only to first-time customers or first payments. They may not apply after you have already ordered RenzheCloud services or when you upgrade products. Accounts attempting to abuse coupons or promo codes may be suspended or removed.

9. Support Services

9.1   Unless a specific product clearly states otherwise, all subscriptions or products include a limited level of standard support based on the subscription or product tier.

9.2   Each support request should address one issue or request, and each support department handles only support requests related to its responsibility.

9.3   For the following types of support requests, RenzheCloud may close the request without reply or restrict account access:

1. Requests outside the scope of the support department;
2. Meaningless messages or inquiries that provide no valid information;
3. Requests involving RenzheCloud internal information;
4. Requests that violate RenzheCloud terms and conditions;
5. Requests that have already been automatically closed due to timeout;
6. Requests that violate local laws or regulations;
7. Abusive, violent, or otherwise inappropriate content.

10. Resource Usage & Security

10.1   RenzheCloud does not set a fixed hardware or system resource limit for every account. We do not actively disable user accounts unless usage greatly exceeds acceptable levels or maintaining the usage would seriously affect other users' experience.

10.2   Unless expressly permitted by law, you may not reverse engineer, decompile, disassemble, or create derivative works of this website or related materials. You agree not to use automated devices or manual processes to monitor or copy this website or materials, and not to use any device, software, code, or virus to interfere with or attempt to disrupt our services or website.

10.3   Security - Any violation of website or service security is prohibited and may result in civil or criminal liability. You agree not to engage in activities that violate, alter, manipulate, compromise, or otherwise use hardware, software, servers, or systems without authorization. You are prohibited from:

1. Any unauthorized access to or use of data, systems, or networks, including the website or services;
2. Unauthorized interference with any user's services, host, or network;
3. Introducing malicious programs such as viruses or worms into networks or servers;
4. Circumventing user authentication or security measures for any host, network, or account;
5. Using our services to compromise the security of other websites or services.

If you participate in any activity that violates system security, we may disclose information about you to system administrators of other sites to help resolve security incidents, and we may cooperate with law enforcement authorities investigating criminal activity or security violations. Such violations may also result in termination of your account under Section 3 of this agreement.

10.4   Traffic usage - Your account's data transfer amount is determined by the specific service or subscription you purchase.

10.5   Fair Use Policy - We provide specific services or subscriptions to customers and expect users to use each service as described. Normal, fair, and reasonable use is evaluated over the applicable billing cycle. If we determine that a user is using a service or subscription unreasonably, we may take action to reduce negative impact, including connection limits or access limits. Unfair use includes but is not limited to:

1. Lending, leaking, reselling, or otherwise transferring RenzheCloud accounts or services;
2. Continuous use of P2P download services;
3. Exceeding the maximum number of users specified by the product or service;
4. Running resource-intensive programs for long periods on a single resource point;
5. Using resource points in ways that violate laws or regulations of the country or region where the resource point is located;
6. Occupying shared resources for long periods beyond a reasonable range and affecting other users.

11. Uptime Guarantee

11.1   RenzheCloud makes reasonable efforts to maintain service availability. If force majeure, software failures, or other issues cause service interruption, RenzheCloud will work to restore basic service as soon as reasonably possible, but complete restoration is not guaranteed.

12. Price Changes

12.1   RenzheCloud may adjust the prices of all products and services based on cost and other factors.

12.2   Subscribers may not request a refund or price difference because of temporary price reductions, promotions, campaigns, or permanent price reductions.

12.3   If we terminate your service under Section 3.2 and later decide to provide service to you again, fees paid for previous services will not be credited toward the new service, and you will need to pay the new service fees.

13. Indemnification

13.1   You agree to defend, indemnify, and hold harmless RenzheCloud and its affiliates from any and all claims, liabilities, reputational harm, damages, losses, and expenses, including reasonable attorneys' and experts' fees, arising from:

1. Your breach of this agreement;
2. Your use of the service;
3. All actions and activities occurring under your username and password;
4. The sale or advertisement of any goods or services involving your content, information, or data;
5. Any defamatory, libelous, or illegal material contained in your content, information, or data;
6. Any claim that your content, information, or data infringes any third party patent, copyright, intellectual property right, privacy right, or publicity right;
7. Any third-party access to or use of your content, information, or data;
8. Any reputational harm caused to RenzheCloud due to your actions;
9. Violation of any applicable Acceptable Use Policy;
10. Your representation that your content complies with applicable law, that you and your end users are of legal age in the relevant jurisdiction, and that your content does not contain prohibited illegal material.

14. No Additional Warranty

You expressly agree that your use of the services is at your own risk. The services are provided on an “as is” and “as available” basis. RenzheCloud expressly disclaims any express or implied warranties, including warranties of fitness, fitness for a particular purpose, merchantability, title, and non-infringement. RenzheCloud does not warrant that the services will meet your requirements, be uninterrupted, timely, secure, error-free, or that results obtained through the services will be accurate or reliable. Any statements in promotional materials should be treated as marketing references rather than warranties. You understand and agree that any data or information downloaded or otherwise obtained through use of the services is obtained at your own risk.

RenzheCloud may provide third-party products, services, or software that are not part of the service. RenzheCloud does not control the content or operation of third-party services or software. Any use of third-party services or software is at your own risk and subject to separate terms between you and the third party.

No oral or written advice or information obtained from RenzheCloud or through the services, including marketing or promotional descriptions of services on the RenzheCloud website, creates any warranty.

RenzheCloud provides no warranty for any product or service beyond what is expressly stated.
